English Language

When the principal language used by one of the parties to a contract is not English, it may be useful to designate the English language as the controlling language for purposes of interpreting the contract terms, with supremacy over non-English translations (which may not bear the same meaning as in English):

Exemplar C29-1

This Agreement has been drafted, negotiated and executed in the English language. If this Agreement is translated into another language, the English language text will exclusively control.

Exemplar C29-2

This Agreement is executed in both the English and the Spanish languages, provided, however, that: (i) the Spanish version is included for information purposes only; (ii) the English version is the only version with binding effects upon the parties, and therefore, shall always prevail over the Spanish version; and (iii) if any legal action or proceeding is brought with respect to the construction, performance and enforcement of this Agreement, both parties shall be bound only by the English version, disregarding the Spanish version.

Exemplar C29-3

This Agreement and associated documentation has been written in the English language, and the Parties agree that the English version will govern. (For Canada: Les parties aux présentés confirment leur volonté que cette convention de même que tous les documents y compris tout avis qui s'y rattaché, soient redigés en langue anglaise. (Translation: The Parties confirm that this Agreement and all related documentation is and will be in the English language)).

The following exemplars have the effect of rejecting any non-English translations as having any operative or governing effect over the parties:

Exemplar C29-4

The parties hereto confirm that it is their wish that this Agreement, as well as all other documents relating hereto, including all notices, have been and shall be drawn up in the English language only. Les parties aux présentes confirment leur volonté que cette convention, de même que tous les documents, y compris tout avis, qui s’y rattachent, soient rédigés en langue anglaise.

Exemplar C29-5

The parties have specifically requested that this Agreement be written in English. Les parties aux présentes ont demandé spécifiquement que ces terms et conditions soit écrite en anglais.
