Copies of Confidential Information

To the extent an NDA permits the receiving party to make copies of confidential information, such copies should expressly be made subject to the NDA’s confidentiality obligations:

The Receiving Party shall not duplicate, edit, or create derivative works from the Confidential Information, without prior written consent of the Disclosing Party, except however, the Receiving Party may make copies only as necessary for the purpose of studying the feasibility of the Project. In such case, any of such duplicated, edited, or derivative works (the “Copies”, collectively) shall be treated on the same manner with Confidential Information and confidentiality notices shall be affixed thereto.
